Please read these Terms and Conditions carefully before using the USDIR platform, website, decentralized exchange (DEX), or any associated mobile applications including Growth Plan. By accessing or using our services, you agree to be legally bound by these terms. If you do not agree, please discontinue use immediately.

Acceptance of Terms

By accessing, registering on, or using any part of the USDIR platform — including usdir.io, the Growth Plan mobile application, the DEX interface you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and Risk Disclosure.

These Terms constitute a legally binding agreement between you ("User") and USDIR ("Platform", "we", "us", or "our"). We reserve the right to update, modify, or replace these Terms at any time. Continued use of the platform after any changes constitutes acceptance of the new Terms.

About USDIR

USDIR is an ERC20 Unique Utility Token with Stable Price deployed on the Ethereum blockchain. It operates as the native token of the USDIR ecosystem, enabling users to access and interact with the platform's decentralized exchange (DEX), wallet services, and Growth Plan applications.

$USDIR is a Unique Utility Token with Stable Price and is not a security, investment product, or financial instrument. It does not confer ownership rights, equity, dividends, profit-sharing, or voting rights in USDIR or any related entity. The token's primary purpose is to facilitate transactions within the USDIR ecosystem.

Eligibility

To use USDIR services, you must meet the following eligibility requirements:

  • You must be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is greater.
  • You must not be located in, or a citizen or resident of, any country or jurisdiction where cryptocurrency trading or ERC20 token usage is prohibited by law.
  • You must not be subject to any sanctions, embargoes, or legal restrictions that prevent participation in cryptocurrency transactions.
  • You must have full legal capacity to enter into and be bound by these Terms.
  • You confirm that your use of USDIR is not for any unlawful purpose, including but not limited to money laundering, fraud, or financing of illegal activities.

Token Usage & Utility

$USDIR tokens are designed exclusively as Unique Utility Token with Stable Price within the USDIR ecosystem. Permitted uses include:

  • Accessing and trading on the USDIR DEX platform.
  • Paying for transaction fees and platform services within the Grwoth Plan application.
  • Transferring tokens to other Ethereum-compatible wallet addresses.
  • Any other use cases explicitly supported by the USDIR platform as described in the official Whitepaper.

Users must not attempt to use $USDIR tokens for any purpose not expressly authorized by these Terms or the USDIR Whitepaper. Misuse of tokens may result in suspension of platform access.

DEX & Trading Services

The USDIR Decentralized Exchange (DEX) is a non-custodial trading platform operating on the Ethereum blockchain. By using the DEX, you acknowledge and agree to the following:

  • All trades are executed via smart contracts on-chain. USDIR does not hold, control, or have access to your private keys or wallet funds at any time.
  • Transactions on the blockchain are irreversible. Once submitted and confirmed, trades cannot be cancelled, reversed, or refunded.
  • You are solely responsible for setting appropriate gas fees and managing your Ethereum wallet.
  • Slippage, liquidity constraints, and market volatility may affect trade execution prices. USDIR is not liable for losses arising from these market conditions.
  • The platform may experience downtime, technical issues, or smart contract vulnerabilities. Use of the DEX is at your own risk.

Risk Disclosure

Cryptocurrency and blockchain-based assets carry significant financial risk. Before participating in any USDIR activity, you must understand and accept all risks, including but not limited to:

  • Market Volatility: The value of $USDIR and all cryptocurrencies can fluctuate dramatically. You may lose some or all of your invested capital.
  • Regulatory Risk: Cryptocurrency regulations vary by jurisdiction and are subject to rapid change. New laws may restrict or prohibit your ability to use the platform.
  • Technology Risk: Smart contracts, blockchain networks, and software may contain bugs, vulnerabilities, or unexpected behavior.
  • Liquidity Risk: There may be limited liquidity for $USDIR on exchanges, making it difficult to buy or sell at desired prices.
  • Cybersecurity Risk: Despite our best efforts, the platform may be subject to hacking, phishing, or other malicious attacks.

Important: USDIR does not provide financial, investment, or legal advice. Nothing on this platform constitutes a recommendation to buy, sell, or hold $USDIR or any cryptocurrency. Always conduct your own due diligence and consult a qualified financial advisor before making investment decisions.

User Obligations

As a user of the USDIR platform, you agree to:

  • Provide accurate, current, and complete information when using the platform or creating accounts.
  • Maintain the security and confidentiality of your private keys, seed phrases, and wallet credentials. USDIR will never ask for your private key or seed phrase.
  • Not engage in market manipulation, wash trading, spoofing, or any deceptive trading practices.
  • Not attempt to reverse-engineer, hack, disrupt, or exploit any component of the USDIR platform or its smart contracts.
  • Not use automated bots or scripts to interact with the platform in any manner that disrupts normal operations or creates unfair advantages.
  • Comply with all applicable laws, regulations, and tax obligations in your jurisdiction relating to your use of USDIR.
  • Not impersonate USDIR, its team members, or any other user of the platform.

Intellectual Property

All content on the USDIR platform — including but not limited to the website design, logos, graphics, text, software, Growth Plan application, smart contract code, Whitepaper, and all associated intellectual property — is owned by or licensed to USDIR and is protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for personal, non-commercial purposes only. You may not copy, reproduce, distribute, modify, create derivative works from, or commercially exploit any content from the USDIR platform without express prior written consent from USDIR.

Privacy & Data

USDIR is committed to protecting your privacy. As a decentralized platform, USDIR does not require users to submit personal identification information to use the DEX. However, when you contact us via email or use certain platform features, limited personal data may be collected.

Any personal data collected is handled in accordance with our Privacy Policy. We do not sell, rent, or share your personal data with third parties for marketing purposes. Blockchain transaction data is publicly visible on the Ethereum blockchain and is beyond our control once submitted.

Disclaimers

The USDIR platform and all associated services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. USDIR expressly disclaims all warranties including, but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the platform will be uninterrupted, error-free, or free from viruses or harmful components.
  • Warranties regarding the accuracy, completeness, or reliability of any information on the platform.
  • Warranties that defects or errors will be corrected within any specific timeframe.

Limitation of Liability

To the fullest extent permitted by applicable law, USDIR, its founders, developers, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of funds, profits, or revenue arising from your use of the platform or trading of $USDIR.
  • Data loss, system failures, or security breaches beyond our reasonable control.
  • Losses arising from unauthorized access to your wallet, private keys, or account.
  • Any inaccuracies or errors in token pricing, market data, or platform information.
  • Losses due to forks, protocol upgrades, or changes to the Ethereum network.

USDIR's total cumulative liability to you for any claim arising out of or related to these Terms shall not exceed the amount of fees, if any, you have paid to USDIR in the twelve (12) months preceding the claim.

Governing Law & Disputes

These Terms and Conditions shall be governed by and construed in accordance with applicable international laws and regulations relating to blockchain technology and digital assets. Any disputes arising from these Terms shall be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved amicably, it shall be submitted to binding arbitration in accordance with internationally recognised arbitration rules. You waive any right to participate in class-action lawsuits or class-wide arbitration proceedings against USDIR.

USDIR reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use of its intellectual property or platform services.
